Meeting of the Fifth Supervisory

Committee of Guangdong Electric Power

Development Co.， Ltd.

The Supervisory Committee and the Supervisors of the Company hereby warrant that

there are no misstatement， misleading representation or important omissions in thisreport and shall assume joint and several liability for the authenticity， accuracy andcompleteness of the contents hereof.The written notice of holding the 1st meeting of the fifth supervisory committee

of Guangdong Electric Power Development Co.， Ltd. ("the Company") was issued on

April 19， 2005. This meeting was held in Guangzhou， Guangdong on April 29， 2005.

6 supervisors (including 2 independent directors) and all of them (including 2

independent directors) were actually present. The holding and voting procedure of the

meeting complied with the provisions of the Company Law and Articles of

Association of the Company. The meeting examined and adopted the following

proposals:

1. The Proposal for Electing Chairman of the Supervisory Committee;

Comrade Tian Yanjun (Resume attached hereinafter) was elected as chairman of

the supervisory committee.This proposal was voted through by 6 supervisors. Affirmative vote: 6; Negative

vote: 0; Abstention: 0.

2. The Proposal for Appointing Secretary to the Supervisory Committee;

Comrade Liu Wei (resume attached hereinafter) was appointed as secretary to the

supervisory committee with term of office of 3 years.This proposal was voted through by 6 supervisors. Affirmative vote: 6; Negative

vote: 0; Abstention: 0.

3. The General Manager's Work Report for the First Quarter of 2005;

This proposal was voted through by 6 supervisors. Affirmative vote: 6; Negative

vote: 0; Abstention: 0.

4. The Financial Report for the First Quarter of 2005;

This proposal was voted through by 6 supervisors. Affirmative vote: 6; Negative

vote: 0; Abstention: 0.

5. The Report of the Company for the First Quarter of 2005;

This proposal was voted through by 6 supervisors. Affirmative vote: 6; Negative

Tian Yanjun， male， born in Xiyang， Shanxi in April 1955， Han nationality， is asenior political engineer with Master's degree. He started to work in 1970. He once

served as secretary of Political Division and Cadre Division， deputy section chief，deputy chief and chief of Cadre Division of Guangdong Power Industry Bureau and

deputy secretary of Party committee of Guangdong Electric Power Group Company.He now serves as director， deputy secretary of Party committee， secretary ofdiscipline committee and chairman of labor union of Guangdong Yuedian Group Co.，Ltd. and chairman of the supervisory committee of Guangdong Electric Power

Development Co.， Ltd.

Liu Wei， male， born in Wuhan， Hubei in April 1979， Han nationality， is anassistant economy analyst with Bachelor's degree. He started to work in 2001. He

once worked at Financial Dept. of Guangdong Electric Power Development Co.， Ltd.He now serves as securities affair representative and person in charge of Board Affair
