关于所提供资料真实、准确、完整的承诺函Letter of Undertaking – Truthfulness Accuracy and
Completeness of Information Provided
鉴于博爱新开源医疗科技集团股份有限公司（股票代码：300109，以下简称“上市公司”、“新开源”）系股票依法在深圳证券交易所上市交易的股份有限公司。
新开源拟出售其全资子公司博爱新开源生物科技有限公司持有的 NKY Biotech
US. Inc.的 100%股权，Abcam plc（以下简称“Abcam”）拟通过其全资子公司Abcam US Group Holdings Inc（与 Abcam 以下合称“买方”或“承诺人”）购买上述股权，该等交易构成重大资产重组（以下简称“本次交易”），承诺人自愿作出如下承诺:
Given that Boai NKY Pharmaceuticals Ltd (SZSE: 300109 hereinafter referred
to as the “Listed Company” or “NKY”) a joint-stock company listed on the
Shenzhen Stock Exchange intends to sell 100% of the equity of its wholly-owned
subsidiary NKY Biotech US. Inc. and Abcam plc (hereinafter referred to as
“Abcam”) intends to acquire such equity through its wholly-owned subsidiary Abcam
US Group Holdings Inc (together with Abcam the “Buyers” or the “UndertakingParties”) which acquisition shall trigger a material asset restructuring (hereinafter
referred to as the “Transaction”) the Undertaking Parties hereby voluntarily make
the commitments as below:
1、承诺人为本次交易所提供的信息、为本次交易所出具的说明及确认均为真实、准确、完整的，不存在任何虚假记载、误导性陈述或者重大遗漏，并对所提供资料和信息的真实性、准确性和完整性承担个别及连带的法律责任。
We undertake that the information provided for the Transaction and the clarification
and confirmation made for the Transaction are true accurate and complete without
any misinformation misleading statements or material omissions. We are jointly and
severally liable for the truthfulness accuracy and completeness of the materials and
information provided.2、承诺人已向参与本次交易的各中介机构提供本次交易的相关信息和文件（包括但不限于原始书面材料、副本材料和口头证言等），并保证所提供的信息和文件均真实、准确、完整，所提供的文件资料的副本或复印件 与其正本、原始资料或原件一致，且该等文件资料的签名、印章均是真实的，该等文件的签署人已经合法授权并有效签署该文件，保证不存在任何虚假记载、误导性陈述或者重大遗漏。
We have provided the relevant information and documents (including but not limited
to originals copies verbal information etc.) to the advisors involved in the
Transaction and we represent that the information and documents that we have
provided are true accurate and complete and the copies and photocopies of those
documents are consistent with their original versions original information or original
items and the signatures and seals of the documents are real. The signatories of the
documents have been legally authorized and have validly signed to ensure there is no
misinformation misleading statements or material omissions.3、在本次交易期间，承诺人将依照相关法律法规、中国证券监督管理委员会和深圳证券交易所的有关规定，及时协助并配合新开源披露有关本次交易的信息，并保证该等信息的真实性、准确性和完整性。
In the process of the Transaction we will promptly assist NKY to discloseinformation
relating to the Transaction in accordance with relevant laws and regulations of the
China Securities Regulatory Commission and the Shenzhen Stock Exchange and
ensure such information is true accurate and complete.4、承诺人对所提供的信息、文件、资料、说明及确认的真实性、准确性和完整性承担法律责任；如违反上述承诺，给上市公司、投资者、交易各方及参与本次交易的各中介机构造成损失的，承诺人将依法承担赔偿责任。
We will be liable for the truthfulness accuracy and completeness of the information
documents materials clarifications and confirmations that we provide. If any of the
above undertakings is breached we will indemnify the Listed Company investors
parties to the Transaction and all advisors particiating in the Transaction for any
